Welcome to our Google Chat™ application (“the Service”). These Terms & Conditions (“Terms”) govern your access to and use of the Service provided by Entangle Commerce, located at: Entangle Commerce, 4789 Yonge St Suite #111, Toronto, ON M2N 0G3, Canada. By installing, accessing, or using the Service, you (“the User”) agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not use the Service.
1. Acceptance of Terms: By using the Service, you confirm you have read, understood, and agree to comply with these Terms and applicable laws. If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
2. License to Use the App: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for lawful internal business purposes. You agree not to copy, modify, or distribute any part of the Service, reverse engineer, or resell the Service. All rights not granted are reserved.
3. Subscriptions & Billing: The Service operates on a monthly or annual subscription that automatically renew unless cancelled. By subscribing, you authorize monthly or annual charges. Prices may change with notice.
4. Free Trials: We may offer trials; after, you will move to a paid plan unless cancelled.
5. Refund Policy: All subscription fees are non-refundable. Refunds are only where required by law.
6. User Responsibilities: You are responsible for your own customer data, information accuracy, and compliance with relevant laws.
Prohibited Uses & User Content
7. Prohibited Uses: You agree not to violate laws, breach security, harm others, upload malware, access others’ data, interfere with the Service, or circumvent controls.
8. User-Generated Content: You may submit content, and guarantee you have the rights to it. We may remove content at our discretion.
9. Authentication Through Google Workspace™: Access requires Google Workspace™ authentication. You authorize us to access relevant data and are responsible for your account security.
10. Third-Party Integrations: The Service integrates with Google Workspace™ & Proofhub. Their terms apply, and we are not liable for their issues.
11. Intellectual Property: We own all rights in the Service. You get only the limited license to use. 12. Termination: We may suspend or terminate your access for violations or failed payments. You may cancel any time; termination does not entitle refunds.
Disclaimers, Limits, and Legal Matters
13. Disclaimer of Warranties: The Service is provided “as is” and “as available” without warranties of any kind. No guarantee of uninterrupted access, error-free operation, compatibility, or output accuracy.
14. Limitation of Liability: We are not liable for any losses, damages, or indirect or consequential issues due to the Service. Limits comply with law.
15. Indemnification: You will indemnify Entangle Commerce for claims, damages, or expenses related to misuse, violation of terms, user content, or interactions with third parties.
16. Governing Law: Ontario, Canada law governs these Terms.
17. Changes: We may update these Terms and your ongoing use means you accept changes.
